The Board is responsible for the overall corporate governance of the Company, and recognizes the need for high standards of ethical behavior and accountability, is committed to ensuring that the RPM Group adheres to best practice governance principles, and maintains the highest ethical standards. In order for the Company to meet its stakeholder obligations and responsibilities, the Board has approved a corporate governance framework of rules, relationships, systems, and processes for the business.
The Board has approved a system of corporate governance to ensure that the Company is managed in a manner directed at achieving its objectives in a proper and ethical manner.

CORPORATE GOVERNANCE PLAN
Each year, RPM Group releases a Corporate Governance Plan that lays out the governance framework adopted by the Board and details its work over the past financial year.
Board charter
The Board Charter sets out the role, structure, and processes of the RPM Group Board of Directors.
It outlines their powers, their responsibilities, and how they can best represent the interests of our shareholders while regarding national best practices and applicable laws.
CORPORATE Code of Conduct
In order to maintain our commitment to and ensure we’re always operating within a place of moral, legal, and ethical integrity, we have developed a rigorous and mandatory Code of Conduct.
This code is a principle we adhere to without exception, and we expect each and every one of our team members to adopt it as their own.
AUDIT COMMITtEE CHARTER
The audit committee charter provides a blueprint for the committee’s operations.
The charter articulates the committee’s role and responsibilities, composition, structure and membership requirements, authority, and processes and procedures, as approved by the board.
RISK COMMITTEE CHARTER
The risk committee is established by and among the board to properly align with management as it embarks on a risk management program. The risk committee oversees and monitors the company’s risk management policies and processes.
Remuneration Committee Charter
The remuneration committee assists the board in the oversight of the remuneration, bonuses, and incentives paid to the CEO and employees.
Nomination Committee Charter
The nomination committee oversees and monitors board and senior executive performance, succession planning and the company’s diversity policy.
Continuous Disclosure Policy
The purpose of the RPM Group Continous Disclosure Policy is to:
- Assist the Company in complying with its continuous disclosure obligations under the Corporations Act 2001 and the ASX Listing Rules;
- Establish a framework to enable RPM Group to provide shareholders and the market with timely, direct, and equal access to relevant information about the Company; and
- Promote investor confidence in the integrity of RPM Group and its securities through the application of disclosure procedures by its directors and employees.
